1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DIGITAL RENAISSANCE INC. ("Company," "we," "our," or "us") concerning your access to and use of the Migrossa platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

2. Service Description

Migrossa provides:

• For Individuals: Immigration journey tracking, document management, agent verification, and job matching
• For Immigration Professionals: Case management, compliance tools, client communication, and escrow payment services
• Escrow Services: Secure payment holding and release based on milestone completion
• Verification Services: AI-powered trust scoring for immigration agents and firms
• AI Tools: Document processing, eligibility checks, and dispute resolution

3. User Accounts and Eligibility

3.1 Account Creation

You must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

3.2 Immigration Professional Verification

Immigration agents and firms must:

• Hold valid professional licenses (RCIC, Bar membership, etc.)
• Provide proof of credentials for verification
• Maintain good standing with regulatory bodies
• Comply with all applicable immigration laws and regulations

4. Escrow Payment Terms

4.1 How Escrow Works

When using our escrow services:

• Clients deposit funds into Migrossa-held escrow accounts
• Funds are released to agents upon milestone completion and client approval
• Auto-approval occurs 72 hours after milestone completion if no objection
• Migrossa charges a 5% platform fee on released funds

4.2 Contract Requirements

All escrow transactions require:

• Written contract with defined milestones
• Digital signatures from both parties
• Clear deliverables for each milestone
• Agreed-upon payment amounts and schedule

4.3 Platform Fees

• Escrow Fee: 5% of released funds (paid by agent)
• Payment Processing: Stripe fees apply (typically 2.9% + $0.30)
• Dispute Resolution: $50 fee for human escalation (paid by losing party)

4.4 Refunds and Cancellations

Escrow funds may be refunded to clients if: (a) agent fails to complete contracted work, (b) both parties mutually agree, or (c) dispute resolution determines refund is warranted. Platform fees are non-refundable except in cases of platform error.

5. Dispute Resolution

5.1 AI-Powered Resolution

Our AI system analyzes:

• Contract terms and milestone definitions
• Evidence of work completion
• Communication history
• Case journey events and timeline

5.2 Human Escalation

Either party may request human review for $50. Our team will review within 7 business days. The decision is final and binding unless legal action is pursued.

5.3 Arbitration Agreement

Any disputes not resolved through our platform must be settled through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

6. User Conduct and Prohibited Activities

You agree NOT to:

• Provide false or misleading information
• Impersonate any person or entity
• Engage in fraudulent activities
• Circumvent escrow protections
• Harass, abuse, or threaten other users
• Violate any immigration laws or regulations
• Upload malicious code or viruses
• Scrape or harvest user data
• Reverse engineer our platform

7. Intellectual Property

The Migrossa platform, including all content, features, and functionality, is owned by DIGITAL RENAISSANCE INC. and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you upload but grant us a license to use, store, and process it to provide our services.

8. Disclaimers and Limitations of Liability

8.1 No Immigration Advice

Migrossa is a technology platform. We do not provide immigration advice. All immigration guidance must come from licensed professionals. We are not responsible for the quality or outcome of immigration services provided by agents on our platform.

8.2 Service Availability

We provide services "AS IS" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

8.3 Limitation of Liability

To the maximum extent permitted by law, DIGITAL RENAISSANCE INC. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Third-Party Services

Our platform integrates with third-party services:

• Stripe: Payment processing and escrow
• OpenAI: AI-powered features
• Google/Microsoft: OAuth and file integrations

Your use of these services is subject to their respective terms and privacy policies.

10. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy. We process personal data in accordance with GDPR, PIPEDA, CCPA, and other applicable data protection laws.

11. Account Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Lose professional licensure (for agents)
• Fail to pay platform fees

You may terminate your account at any time. Escrow obligations survive termination.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. For users in the European Union, you retain rights under local consumer protection laws.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notification 30 days in advance. Continued use after changes constitutes acceptance.
